1. Agreement to Terms
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Explic Inc. ("Company", "we", "us", or "our"), concerning your access to and use of the explic.app website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").
2. Intellectual Property Rights
2.1 Our IP. Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
2.2 Your Output. Subject to your compliance with these Terms, Explic hereby assigns to you all its right, title, and interest in and to any specific output generated by the AI services based on your unique inputs ("User Output"). You own your data.
3. AI Services & Disclaimer (Crucial)
3.1 Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of study. Given the probabilistic nature of machine learning, use of our Services may in some situations result in incorrect Output that does not accurately reflect real people, places, or facts. You should evaluate the accuracy of any Output as appropriate for your use case, including by using human review.
3.2 No Professional Advice. The Content and AI Output provided on the Site is for educational and informational purposes only. It does not constitute professional, financial, medical, or legal advice.
4. User Representations
By using the Site, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will not access the Site through automated or non-human means, whether through a bot, script or otherwise (except for standard search engine indexing).
- You will not use the Site for any illegal or unauthorized purpose.
- You will not attempt to reverse engineer any of the software comprising or in any way making up a part of the Site.
5. Subscription & Payment
5.1 Billing. We bill utilizing third-party payment processors (e.g., Gumroad). Charges are billed in advance on a monthly or yearly basis.
5.2 Cancellation. You may cancel your subscription at any time. Your access to premium features will continue until the end of the current billing cycle.
5.3 Refunds. Refunds are handled on a case-by-case basis and are generally not provided for partial months of service.
6. Limitation of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Governing Law
These Terms shall be governed by and defined following the laws of [Offshore Jurisdiction / Delaware, United States], without regard to its conflict of law principles.
